Club Structure

Legal Structure of the Club

The overall organisation and Running of the MG Car Club is structured upon the the Memorandum of Association drawn up by the founders of the Club and the Articles of Association. There have been some minor updates agreed by Special Resolutions at the Club's Annual General Meetings (the last special resolution was 14th October 2006).

Whilst there have been many technological changes since the founding of the Club i.e. computers, e-mail, faxes, mobile telephones etc. the Articles of Association and Memorandum of Association are still totally relevant today.

The founding fathers of the Club in their wisdom wrote the Articles to ensure that the members manage and control the direction of the Club by means of annual elections to Centres, Registers, or Branches, who in turn elect a representative to the Club Council.

The Club Council consists of two members from each Centre, Register, and Branch, One member is a voting member the other a non-voting member. The voting members elect members of the Executive Committee who have the principal responsibility to ensure the ongoing direction and management of the Club, and that the finances of the Club remain on firm and stable basis.

The Articles of Association detail the procedures that the Club must follow; the principles they originally established are still applicable today. They give the Club various safeguards to ensure that an individual or a small group of individuals cannot 'railroad' through changes or projects that could be detrimental to the Club.

The Memorandum of Association details the objectives of the club and the wide-ranging parameters of activity that the club was originally established for.

The Club’s Memorandum and Articles of Association (MAA) are circulated to members in an abridged version as the Club Rules. In summary, the Articles of Association state HOW the Club is run and organised, the Memorandum of Association state WHAT the Club can do.

MG Car Club Rules & Regulations

The aim of these rules is to provide a ready source of reference for all Club members but, in particular, for the majority who chose not to be involved in the administration of the Club. For that reason they have been kept as simple as possible whilst maintaining accord with the Club's Memorandum and Articles of Association (MAA). In the event of any conflict between the rules and the MAA the latter take precedence. Club members may like to know that over the period during which the rules have been compiled all those serving on the Council and the Executive have had the opportunity to comment.
